1.2 The Customer understands and accepts to be bound by these Terms on Effective Date forward and continue to be bound by these Terms until the Customer no longer has access to the Service and is no longer in possession of any material, recordings, copies, pictures or any similar data related to Services, regardless whether the access to data was subscribed or free of charge.
1.3 Statzon has the right to amend these Terms from time to time at its own discretion. Any changes to these Terms will be effective when they are published at the Service. The Customers continued use of the Service following Statzon’s notification of any changes will constitute the Customer’s acceptance of the Terms as amended. If the Customer does not agree with any changes made to the Terms, the Customer may cancel the subscription without any additional costs by ceasing to use the Service.
2.1 In these Terms, the following definitions shall have the following meanings:
|shall mean a private person or a legal entity that either uses the free services at the Service or has registered as a subscriber
|shall mean an account to which each Customer is assigned to and only a Customer has access to. The Customer Account enables the Customers to access the Service as a Freemium or Paid Subscription user
|shall mean intellectual property rights as further described in section 5. of these Terms
|shall mean research, information and/or related services available in the Service
3.1 Statzon provides the Service for the Customer to discover and purchase Market Data. There are three different customer types:
3.1.1 Website User may review the content shared openly at the Service without a Customer Account;
3.1.2 Freemium Subscription, which enables the Customer to search, review and use some Market Data, requires a Customer Account;
3.1.3 Paid Subscriptions offers a selective access to the Market Data where the Customer can choose the Market Data and/or other possible content the Customer wishes to access, with one fixed fee.
4.1 The Customer is granted a non-exclusive, non-transferable, non-assignable single user, multiple user or company wide limited right to access limited parts of the Services and access to provided Market Data. The Customer shall have the right to use the Service mostly to research purposes. The Customer shall have the right to use the Service data in presentations, cite or quote tables, figures, and text of Market Data with a clearly visible reference to Statzon and to the original copyright owner. If a public presentation contains notable amount of data from the Service the Customer must have a written consent from Statzon before publishing such presentation. It is strictly prohibited for the Customer to make the Market Data available to the public or otherwise copy, reproduce or redistribute the Market Data without Statzon’s prior written consent.
4.2 The Customer may link to any page on Statzon’s website, provided that the Customer does so in a fair and legal way which does not damage Statzon’s reputation or take advantage of it. The Customer must not establish a link in such a way as to suggest any form of association, approval or endorsement on Statzon’s part where none exists, nor establish a link to our website in any website which the Customer does not own or have full control over. Statzon shall have with its discretion the irrevocable right to remove any Customer’s linking permit described in this clause 4.4.2.
4.3 The Customer shall not have the right to offer, sell, retransmit any part of the Services to any third party for commercial resale or commercial redistribution in any medium or modify, reverse engineer, reverse assemble or reverse compile any part of the Services.
4.4 Other than reference purposes, the Customer shall not have the right to use the name, trademarks, service marks, symbols, or logos of the Statzon without a prior written consent of Statzon, nor shall the Customer have the right to use the Services to compete with the business of Statzon.
5.1 The Customer shall acknowledge and agree that Statzon controls all IPR’s in the Service, such intellectual property rights include but are not limited to copyright and related rights, rights in designs, trademarks, patents, rights in get-up, goodwill and the right to sue for passing off, rights to use, and protect the confidentiality of, confidential information, database rights, in each case whether registered or unregistered.
5.2 Where our website contains links to other websites and resources provided by third parties, these links are provided for informational purposes only and Statzon shall have no ownership nor control over the content of these linked websites or resources and Statzon shall not be responsible or liable for any information, omission in any way.
6.1 Statzon shall not resume any responsibility for any incorrect information supplied in any Market Data or any other content on the Service. Although Statzon strives for accuracy in all publications, reported material may contain errors or omissions which derive from the primary and secondary research sources. Statzon shall not be liable for any special, indirect, incidental or consequential damages as a result of its use. Statzon’s Market Data must be construed solely as statements of opinion and not as statements of fact.
6.2 Statzon shall not guarantee that the Service will always be available, be uninterrupted, secure or free from bugs or viruses, nor that the Service will be free from errors or omissions. Statzon may temporarily suspend a Customer’s access to the Service while Statzon carries out necessary maintenance and repairs.
6.3 To the maximum extent permitted by law, Statzon accepts no liability for any direct or indirect loss or damage, foreseeable or otherwise, including any indirect, consequential, special or exemplary damages arising from the use of the Service or any information contained therein. Statzon’s liability in any case is limited to EUR 1.000.
6.4 The Customer agrees that the use of the Services is at the Customer’s sole risk and the Customer acknowledges that, the Services and the Market Data is provided "as is", and "as available" and that Statzon and any third party supplier of Market Data shall give no warranty of any kind, express or implied, as to the Services and Market Data, including but not limited to, merchantability or suitability for a particular purpose or use.
7.1 The Customer agrees, at its own expense, to indemnify, defend and hold harmless Statzon, its suppliers, agents, directors, officers, employees, representatives, successors, and assigns from and against any and all loss, damage and expense, including attorney’s fees, and amounts paid in settlement arising from any and all third party claims which: (i) arise out of the Customer’s use of the Services in violation of these Terms; (ii) violate or breach these Terms and hence infringes such third party’s intellectual property rights. Statzon shall provide prompt notice to the Customer of any such third-party claim.
7.2 The Customer shall have the right, at its own expense, to assume the appropriate defence and control of any such matter and Statzon will fully co-operate with the Customer in asserting any available defence.
8.1 For any use of the Freemium or Paid Subscription the Customer must create a Customer Account with Statzon. At all times the Customer is responsible for the safety and security of the Customer Account and the Customer is responsible for choosing strong passwords and keeping all passwords and usernames safe and not disclose these to any third-party. The Customer shall accept sole responsibility for any use of (whether authorised or not) or action taken using the Customer Account. In creating the Customer Account, the Customer is required to provide certain personal information and payment details. The required information may vary from time to time.
8.2 The Customer shall:
8.2.1 only provide information for the Customer Account that is true and accurate;
8.2.2 only use the Service for the Customer’s own use and in accordance with these Terms;
8.2.3 not use the Service for any purpose or in any way which is unlawful in any applicable territory;
8.2.4 not misuse the Service by knowingly introducing viruses, trojans, worms, logic bombs or any other material which is malicious or technologically harmful;
8.2.5 except to the extent expressly permitted in these Terms (and except as may be allowed by any applicable law which is incapable of exclusion), not attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Service, the Customer Account or the Market Data (as applicable) in any form or media or by any means;
8.2.6 not attempt to reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the software of the Service; and
8.2.7 not to resell or attempt to resell the Market Data.
9.1 The prices are negotiated separately with each Customer. The Statzon shall have the right at its own discretion to raise the prices annually.
9.2 The Customer is charged the price together with any applicable taxes and applicable service provider charges via the preferred payment method notified to the Statzon in the Customer Account, being:
9.2.1 by charge to the Customer’s credit card;
9.2.2 by authorised deduction from the Customer’s nominated bank account; or
9.2.3 by such other payment methods as Statzon makes available to Customers from time to time.
10.1 If not otherwise agreed between the parties, paid subscriptions shall commence on payment and continue 12 months, and the contract term is automatically renewed with 12 months’ periods (“Term”) unless either party provides the other party with written notice of non-renewal at least thirty (30) days prior to the end of the Term or the then-current Renewal Term, as applicable.
If not otherwise agreed between the parties Statzon and the Customer shall have the right to terminate any subscription at any time with one (1) months’ notice period with a written notice to the other party.
10.2 Statzon reserves the right to delay, suspend or terminate the Customer Account immediately upon notice if the Customer breaches any of its obligations under these Terms and the Customer fails to remedy such breach within 30 days of receipt of written notice from Statzon regarding the breach.
11.1 These Terms do not create or infer any rights that are enforceable by any person who is not a party to them.
11.2 Nothing in these Terms is intended, nor shall operate, to create a partnership, agency relationship or joint venture of any kind between Statzon and the Customer.
11.3 The Customer may not assign any of its rights or obligations in these Terms to any other person without Statzon prior and explicit written consent. Statzon may transfer its rights and obligations under these Terms to another organisation with no less than 30 days’ notice of any such transfer.
11.4 Statzon shall not be liable to the Customer for any failure to perform obligation under these Terms which is due to reasons, events or other matters beyond Statzon’s control including without limitation any act of god, terrorism, war, political insurgence, insurrection, riot, civil unrest, act of civil or military authority, uprising, earthquake, flood or any other natural or manmade eventuality outside of our control.
11.6 If Statzon does not exercise or enforce any right that Statzon has, it does not construe a waiver of such rights in any way and such waiver cannot be interpreted.
11.7 If any part of these Terms is found to be illegal, invalid or otherwise unenforceable by a court or regulator, the required, part shall be deleted from the Terms and the remaining parts of the Terms will continue to be enforceable.
11.8 This Terms (and any further rules, polices, or guidelines incorporated by reference) shall be governed and construed in accordance with the laws of Finland, without giving effect to any principles of conflicts of law. All disputes arising out of these Terms shall be finally settle in arbitration in accordance of the rules of Finnish Chamber of Commerce, with sole arbitrator. The language of the arbitration shall be English, and the seat of the arbitration shall be located in Helsinki, Finland.
11.9 Statzon shall have the right to use the Customer as a reference Customer on Statzon’s web page and any other marketing material.
